You are also responsible for complying with all applicable:

  • Carrier rules and contracts

  • Centers for Medicare & Medicaid Services requirements

  • Privacy and data-security requirements

  • Advertising and telemarketing laws

  • Do-Not-Call requirements

  • Email and text-message marketing rules

  • Recordkeeping obligations

  • Professional and ethical standards

AgentBridge does not authorize you to engage in any activity that is unlawful, misleading, unlicensed, noncompliant, or prohibited by a carrier or regulator.

5. No Legal, Tax, Accounting, or Regulatory Advice

AgentBridge may provide templates, workflows, scripts, educational resources, marketing ideas, operational guidance, and other business information.

This information does not constitute legal, tax, accounting, investment, actuarial, or regulatory advice.

You are responsible for obtaining advice from qualified professionals regarding your specific circumstances and for independently verifying that your practices comply with applicable laws, regulations, carrier requirements, and contractual obligations.

To the fullest extent permitted by law, AgentBridge’s total liability arising from the public website or freely provided resources will not exceed $100.

For paid or contracted services, any separate signed agreement may establish a different liability limitation.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless AgentBridge and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, damages, losses, liabilities, penalties, judgments, and expenses, including reasonable attorneys’ fees, arising from:

  • Your use or misuse of the Services

  • Your violation of these Terms

  • Your insurance or marketing activities

  • Your violation of law or regulation

  • Your infringement of another party’s rights

  • Information or materials you submit

  • Unauthorized disclosure of client or beneficiary information

  • Misrepresentations made by you

  • Actions taken through your accounts or systems

This obligation applies to the extent permitted by law.

21. Suspension and Termination

AgentBridge may restrict, suspend, or terminate your access to the Services if we reasonably believe that you:

  • Violated these Terms

  • Engaged in fraudulent or unlawful conduct

  • Created security or reputational risk

  • Misused proprietary materials

  • Failed to satisfy applicable professional requirements

  • Used the Services in a way that may harm AgentBridge, its partners, clients, or third parties

Upon termination, rights granted to you under these Terms will end immediately.

Provisions that by their nature should survive termination will remain in effect, including intellectual-property, disclaimer, limitation-of-liability, indemnification, and dispute provisions.

22. Governing Law

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles.

Any legal proceeding not subject to arbitration must be brought exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to the jurisdiction of those courts.

Any dispute arising from these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable rules. Claims may not be brought as a plaintiff or class member in a class, consolidated, or representative proceeding.

Arbitration provisions and class-action waivers can materially affect legal rights and should be customized by an attorney for AgentBridge’s entity, state, audience, and contracts.

24. Changes to These Terms

AgentBridge may update these Terms periodically.

When changes are made, the effective date at the top will be revised. Material changes may also be communicated through the website or another appropriate method.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.

25. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

The unenforceable provision will be modified only to the minimum extent necessary to make it enforceable where permitted.

26. Waiver

AgentBridge’s failure to enforce a provision of these Terms does not waive its right to enforce that provision later.

A waiver is effective only when made in writing by an authorized representative of AgentBridge.

27. Assignment

You may not assign or transfer your rights or obligations under these Terms without AgentBridge’s prior written consent.

AgentBridge may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer of business operations.

28. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and AgentBridge regarding use of the public website and supersede prior discussions concerning that use.

Separate signed partnership, service, licensing, compensation, confidentiality, or carrier agreements remain independently enforceable.
